ASIC Fines Mona Museum Owner's Company for Late Financial Report
The Australian Securities and Investments Commission has issued a $198,000 infringement notice to Downward Spiral Enterprises, the parent company of Hobart's Museum of Old and New Art (Mona), for failing to lodge its 2025 financial report on time.
Downward Spiral Enterprises was among 22 large companies issued with infringement notices by the corporate regulator. Each notice carried a penalty of $198,000, bringing the total fines paid to $4.3 million.
Digital Walsh serves as the sole director of Downward Spiral Enterprises, which also owns Moorilla Estate and operates Mona. The company lodged eight years of accounts with ASIC in June, revealing financial details for the first time since 2019.
These records showed that dividend income exceeding $695 million supported Mona and other businesses within Walsh's portfolio, including Moo Brew beer maker and DarkLab, which runs the Dark Mofo festival. Downward Spiral reported a profit of $63.9 million for 2024–25, largely driven by a $114 million dividend from an undisclosed source.
Despite this recent profitability, Mona has accumulated losses totaling $408 million since its opening in 2011. Walsh previously stated he was "completely happy with the finances" despite these figures.
ASIC emphasized that payment of infringement notices does not constitute an admission of guilt. The regulator noted it had conducted data-focused surveillance of large proprietary companies since August 2025, receiving over $13.7 million in payments during this period.
The commission engaged with 234 companies regarding financial reporting obligations this year, including 193 that allegedly failed to lodge reports for 2025. Of these, 147 have since lodged outstanding reports.
Common reasons cited for non-compliance included audit-related issues, administrative oversight, and inadequate resources. Some companies were unaware of their obligations until contacted by ASIC.
ASIC Commissioner Kate O'Rourke stated that timely reporting provides crucial information to shareholders and creditors. She warned that enforcement actions send a clear message that non-compliance will not go undetected.
